End-User License Agreement (EULA)

This End-User License Agreement (“Agreement”) is a legally binding agreement between you (“User,” “You,” “Your”) and NetWurk.ai (“Licensor,” “We,” “Our,” “Us”). This Agreement governs your use of the software, digital products, and services provided by NetWurk.ai (the “Software”), including any updates, enhancements, or additional features that we may provide.

By downloading, installing, or using the Software, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the Software.

1. License Grant

Subject to the terms and conditions of this Agreement, NetWurk.ai grants you a non-exclusive, non-transferable, revocable license to use the Software solely for your personal or business use on the devices you own or control.

  • The Software may not be copied, modified, distributed, sold, or transferred to any third party without prior written consent from NetWurk.ai.
  • You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.

2. Scope of Use

  • Personal Use: The Software is licensed for use by you, the end user, and is not intended for use by any third party.
  • Business Use: If you are using the Software for business purposes, you may allow access to the Software to your employees or authorized agents. However, all terms of this Agreement will still apply to the users in your organization.
  • No Resale: You may not sell, lease, or otherwise distribute the Software to others for any commercial purposes, unless expressly authorized by NetWurk.ai.

3. Restrictions

You agree not to:

  • Use the Software for unlawful purposes or in any manner inconsistent with the terms of this Agreement.
  • Modify, adapt, translate, or create derivative works based on the Software without prior written consent from NetWurk.ai.
  • Export the Software or any associated materials in violation of export laws or regulations.
  • Remove or alter any proprietary notices or labels on the Software, including copyright or trademark notices.

4. Ownership

NetWurk.ai retains full ownership of the Software, including all intellectual property rights. This license does not grant you any rights to the underlying code, trademarks, patents, or other proprietary elements of the Software.

5. Updates and Upgrades

NetWurk.ai may provide updates, bug fixes, or new versions of the Software (“Updates”). These Updates are provided at the sole discretion of NetWurk.ai and are subject to the terms of this Agreement. By accepting or installing an Update, you agree to be bound by the updated terms.

  • Updates may be provided automatically, but you are not obligated to install them.
  • You agree that any Updates may be integrated into the Software and be subject to the same terms as this Agreement.

6. Data Collection and Privacy

The Software may collect certain information, including personal data, to improve functionality and provide you with a better experience. You consent to the collection and use of your data as described in our Privacy Policy. NetWurk.ai will process personal data in accordance with applicable data protection laws and regulations.

7. Termination

This Agreement is effective until terminated by either party. You may terminate this Agreement at any time by uninstalling or deleting the Software from your device.

NetWurk.ai may terminate this Agreement immediately if you breach any of the terms of this Agreement. Upon termination, you must immediately stop using the Software and delete all copies from your device.

8. Warranty Disclaimer

The Software is provided “as is,” without warranty of any kind, express or implied. NetWurk.ai makes no representations or warranties regarding the quality, functionality, or performance of the Software, including but not limited to:

  • The Software being free of errors, defects, or interruptions.
  • The Software meeting your specific needs or requirements.
  • The Software being secure or free from viruses, malware, or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, NetWurk.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use or inability to use the Software, even if NetWurk.ai has been advised of the possibility of such damages.

  • NetWurk.ai’s total liability under this Agreement shall be limited to the amount you paid for the Software, if any.

10. Indemnity

You agree to indemnify, defend, and hold harmless NetWurk.ai, its affiliates, employees, agents, and licensors from and against any claims, losses, liabilities, damages, or expenses (including legal fees) arising from:

  • Your use or misuse of the Software.
  • Your breach of any provision of this Agreement.
  • Any third-party claims related to your actions or use of the Software.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of law principles.

Any dispute arising under or in connection with this Agreement shall be resolved through binding arbitration under the rules of the [Insert Arbitration Institution]. The arbitration shall take place in [Insert Location].

12. Miscellaneous

  • Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the Software and supersedes all prior agreements or understandings.

  • Amendments: NetWurk.ai reserves the right to modify or update this Agreement at any time. Any changes will be posted on this page, and you agree to be bound by the updated terms upon installation or use of the Software.
